Terms & Conditions
Standard B2B commercial terms governing custom extrusion die development, raw material procurement, manufacturing tolerances, supply, and delivery by Salco Extrusions Pvt. Ltd.
1. Scope of Agreement & Acceptance
These Terms and Conditions (“Terms”) govern all business proposals, quotations, sales contracts, custom die tooling orders, and physical deliveries executed by Salco Extrusions Pvt. Ltd. (“SALCO”, “Manufacturer”, “we”) to any commercial client, contractor, or purchasing entity (“Buyer”, “Customer”).
Issuance of a formal Purchase Order (PO), approval of die drawings, or payment of any tooling deposit constitutes unconditional acceptance of these Terms, which supersede any conflicting terms in the Buyer's standard purchasing conditions unless expressly agreed in writing by a Director of SALCO.
2. Quotations, Pricing & Metal Indexing
Aluminium is an internationally traded commodity subject to market price variations. Unless otherwise agreed in a formal fixed-term commercial contract:
- Metal Base Price: Extrusion prices are quoted benchmarked to the prevailing primary aluminium ingot/billet prices published by primary domestic producers (e.g., NALCO, Hindalco) or the London Metal Exchange (LME) on the date of quotation.
- Price Fluctuation Clause: Any change in primary metal basic rates, excise duties, fuel surcharges, or statutory taxes exceeding +/- 2% between the date of quotation and the date of dispatch will be adjusted pro-rata on the final invoice.
- Quotation Validity:The above quoted price is based on the cost of Aluminium Ingots & other inputs ruling as on today. Any revision thereafter in the cost of Aluminium Ingots & other inputs directly / indirectly will be to your account.
3. Custom Tooling Dies & Ownership
Tooling Development & Die Custody
Tooling Charges: Tooling development fees paid by the Buyer represent development, CAD/CAM simulation, trial extrusion, and machining costs. The physical extrusion die remains in the custody and maintenance of SALCO at our Tarapur toolroom.
Exclusivity: Custom dies engineered specifically for proprietary shapes under non-disclosure agreements will never be utilized to produce profiles for any third party without prior written authorization from the Buyer.
Die Life & Maintenance: Normal die maintenance and nitriding are undertaken by SALCO. In the event of catastrophic die fatigue after exceeding standard extrusion tonnage life, re-tooling costs may apply subject to commercial volume thresholds.
4. Engineering Tolerances & Quality Specifications
All profiles are manufactured in accordance with established national and international standards:
- Applicable Standards: Extrusions conform to IS 733 / IS 1285 (Bureau of Indian Standards) and ASTM B221 / EN 755 standard dimensional tolerances.
- Dimensional Tolerances: Unless precision special tolerances are contractually defined in the approved engineering drawing, standard commercial tolerances for wall thickness, angularity, flatness, twist, and camber shall apply.
- Alloy Composition & Hardness: Profiles are supplied with Manufacturer Test Certificates (MTC) detailing Spectrometer chemical verification and Webster/Barcol hardness checks.
- Cut Length Tolerances: Standard mill cut length tolerance is +/- 5.0 mm. Precision fabrication cuts (miter/straight) are subject to customer-approved drawing specifications down to +/- 0.5 mm.
5. Minimum Order Quantities (MOQ) & Delivery
Due to industrial press setup and billet changeover economics:
- MOQ Thresholds: Standard alloys carry an MOQ of 300 kg. Custom or bespoke profile production runs require per section depending on wall thickness and alloy grade.
- Quantity Tolerance: As continuous extrusion yields vary slightly during extrusion run-out and stretching, orders are subject to a delivered quantity variation of +/- 10% of total contracted tonnage, which shall be accepted and invoiced accordingly.
- Delivery Timelines: Delivery schedules quoted are given in good faith from the date of final drawing sign-off and receipt of advance payment. SALCO is not liable for indirect consequential losses resulting from logistical or transit delays
6. Surface Finishing & Fabrication Disclaimers
Extrusions supplied in Mill Finish may exhibit minor surface die lines or oxidation inherent to hot metal extrusion. Profiles requiring aesthetic architectural appearance must be specified for Anodizing (up to 25 microns) or Polyester Powder Coating (RAL shades). Minor shade variations between distinct electro-colouring production batches remain within standard industry tolerances.
7. Inspection, Defect Notification & Rejection
The Buyer must inspect all consignments upon receipt at their premises. In the event of any alleged dimensional discrepancy, alloy defect, or damage:
- Written notice of defect with photographic evidence and batch MTC reference must be submitted to SALCO within 10 calendar days of delivery.
- Profiles must not be cut, machined, installed, or processed prior to inspection by SALCO technical personnel. Any processing by the Buyer invalidates warranty claims.
- SALCO's liability for confirmed defective profiles is strictly limited to replacement of material or credit of the defective tonnage at our sole discretion.
8. Intellectual Property & Confidentiality
The Buyer warrants that any drawings, CAD models, or sample profiles supplied to SALCO do not infringe upon any third-party patent, registered design, or trademark. The Buyer agrees to indemnify SALCO against all claims, costs, or damages arising from any third-party intellectual property infringement claims regarding Buyer-designed shapes.
9. Invoicing, Payments & Title Retention
Unless special credit terms are approved in writing by SALCO management:
- Tooling orders require 100% advance deposit prior to die fabrication.
- Production consignments are executed on advance payment or mutually agreed Letter of Credit (LC) / bank guarantee terms.
- Title and legal ownership of all extruded profiles remain with SALCO until full payment of the invoice has cleared into our bank account.
10. Force Majeure & Limitation of Liability
SALCO Extrusions shall not be liable for default or delay in performance caused by circumstances beyond reasonable operational control, including natural calamities, acts of God, civil unrest, strikes, power grid failures, transport blockades, or nationwide raw material shortages.
Under no circumstances shall SALCO be liable for indirect, incidental, special, or consequential damages, including loss of profits, downtime, or third-party contractual penalties.
11. Governing Law & Dispute Resolution
These Terms and Conditions and any contractual disputes arising between the parties shall be governed by and construed in accordance with the laws of the Republic of India.
Exclusive Legal Jurisdiction:
Any legal dispute, action, or proceeding arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent Courts at Mumbai, Maharashtra, India.
